These Terms of Service (hereinafter “Terms”) apply to the use of the SaaS service ONOXIA (hereinafter “Service”), provided by:

By registering for and using ONOXIA, the customer (hereinafter “Customer”) accepts these Terms.
ONOXIA is an AI-powered chat widget provided as Software-as-a-Service (SaaS) that customers can embed on their websites. The Service includes:
The contract is formed upon registration at onoxia.nz and confirmation of the email address. The Customer warrants that the information provided during registration is correct and complete.
ONOXIA offers the following plans (prices net, plus applicable taxes):

Annual subscription: With annual prepayment, OCENOX LTD grants a discount of 1.5 months (payment of 10.5 monthly amounts for 12 months). Annual prices: Starter NZ$315/€158/$199, Professional NZ$1,260/€630/$789, Enterprise NZ$3,150/€1,575/$1,985.
NZD and EUR prices are fixed. USD prices apply to customers billed through Paddle; the amount shown in local currency may vary slightly due to exchange rate fluctuations.
Current prices and included features are available on the website at onoxia.nz. Price changes will be announced with 30 days' notice.
The contract begins upon registration and email confirmation. The selected plan is immediately active. The Customer chooses between monthly and annual billing at registration. The first invoice will be issued at the next billing cycle.
Each plan includes a monthly token budget. Tokens are consumed for AI processing of chat messages. The token budget resets monthly.
Additional token packages can be purchased through the Token Shop in the dashboard. Unused tokens from additional packages are consumed on a FIFO (First In, First Out) basis. Purchased tokens remain valid for 24 months after the end of the subscription.
When the token budget is exhausted, the chatbot will be deactivated until new budget is available.
Standard plans (Starter, Professional, Enterprise) are designed for websites with typical visitor volumes. OCENOX LTD reserves the right to contact the Customer and require an individual agreement if usage significantly exceeds what is typical for the respective plan.
Excessive usage includes, but is not limited to:
Upon identifying excessive usage, OCENOX LTD will notify the Customer in writing and provide a 14-day period to conclude an individual agreement. If no agreement is reached within this period, OCENOX LTD is entitled to terminate the Service for the affected Customer with 7 days' notice. Payments already made for the current billing period will be refunded pro rata.
For high-volume deployment scenarios, OCENOX LTD offers custom enterprise agreements. Contact: webmaster@ocenox.com.
Billing occurs in advance — monthly or annually, depending on the selected billing cycle. Two payment methods are available:
Paddle as Online Reseller: For customers billed through Paddle, our order process is conducted by our online reseller Paddle.com. Paddle.com Market Ltd (15 Brixton Station Road, London, SW9 8GB, United Kingdom) is the Merchant of Record for these orders and the contractual partner for payment processing. Paddle handles all customer service for payment-related inquiries, tax compliance including VAT/sales tax, and processes refunds. The following Paddle terms apply additionally:

In case of payment delay exceeding 14 days, OCENOX LTD reserves the right to suspend the Service until the outstanding payment is settled.
For payments processed through Paddle, the following refund policy applies:
The Customer may request a full refund within 30 days of the purchase date. The refund is granted without requiring a reason and without conditions. Requests can be made by email to webmaster@ocenox.com, by phone at +64 9 950 8844, or through Paddle Buyer Support. The refund will be issued by Paddle to the original payment method.
For invoice payments (EUR, NZD), the Customer may request a full refund within 14 days of the purchase date. Requests should be made by email to webmaster@ocenox.com. The refund will be issued to the original payment method or by bank transfer.
One-time token package purchases are subject to the same 14-day refund period. Tokens already consumed will be deducted proportionally from the refund amount.

Violations of this policy may result in immediate account suspension without refund.
OCENOX LTD aims to provide 99.5% uptime on a monthly basis. Scheduled maintenance will be announced in advance where possible. There is no guarantee of uninterrupted availability.
Support is available via email at webmaster@ocenox.com. Response times depend on the selected plan.
The processing of personal data is described in our Privacy Policy. OCENOX LTD acts as a data processor pursuant to Art. 28 GDPR for end-user data collected through the chat widget.
Right to Erasure (Art. 17 GDPR): The Customer may request account deletion at any time via the Settings page in the dashboard or by email to datenschutz@ocenox.com. Deletion occurs 14 days after confirmation. If purchased tokens remain, the account is retained until token expiry (24 months after subscription end), unless the Customer explicitly requests immediate deletion.
All rights to the software, widget code, documentation, and the ONOXIA and OCENOX trademarks remain with OCENOX LTD. The Customer receives a non-exclusive, non-transferable right of use for the duration of the contract.
Content uploaded by the Customer (RAG documents, texts, configurations) remains the property of the Customer. OCENOX LTD receives a licence to process this content solely for the purpose of providing the Service.
To the extent permitted by law, OCENOX LTD is only liable for damages resulting from wilful or grossly negligent conduct. Liability is limited to the fees paid in the preceding 12 months.
OCENOX LTD is not liable for:
Monthly subscription: The Customer may cancel at any time, effective at the end of the current month.
Annual subscription: The annual subscription has a minimum term of 12 months. Cancellation is possible at the end of the contract year. If not cancelled, the subscription renews automatically for another year.
Cancellation can be made through the dashboard or by email.
OCENOX LTD may terminate the contract with 30 days' notice. In case of serious violations of these Terms, termination with immediate effect is possible.
After termination, customer data will be deleted within 90 days, unless statutory retention obligations apply or purchased tokens remain. If tokens are present, the account is retained for up to 24 months after subscription end and can be reactivated via support. The Customer may request immediate deletion via the Settings page at any time. The Customer may request a data export before deletion.
OCENOX LTD reserves the right to amend these Terms. Changes will be communicated to the Customer at least 30 days before taking effect by email. If the Customer does not object within 30 days, the amended Terms are deemed accepted.
These Terms are governed by the laws of New Zealand, in particular the Contract and Commercial Law Act 2017.
For consumers in the EU, mandatory consumer protection provisions of their country of habitual residence remain unaffected. In particular, the right of withdrawal under EU distance selling directives applies.
The place of jurisdiction for all disputes arising from or in connection with this contract is Auckland, New Zealand, to the extent permitted by law.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by an effective provision that most closely reflects the economic purpose of the invalid provision.
